Director - Corporate Finance (Corporate Disclosure - Monitoring)

The Corporate Disclosure Team is a unit formed by the merger of the Monitoring Team and the Takeovers Team to consider and address corporate misconduct from a wider perspective.

Duties & Responsibilities:

Reporting to Senior Director - Corporate Finance, the Director will work closely with other senior executives of the Corporate Finance Division in relation to matters concerning listed equity securities. The Director will lead the Monitoring Team in analysing and reviewing corporate disclosures, news, and intelligence relating to listed companies in Hong Kong, with a view to identifying any possible breaches of the inside information provisions under Part XIVA of the SFO and other misconduct, including, without limitation, provision of false or misleading information and breaches of the Codes on Takeovers and Mergers and Share Buy-backs. Possible SFO breaches will be passed to the Enforcement Division for more in-depth investigation. The Director will also contribute to the identification of any policy and market-wide regulatory issues relating to listed companies and possible regulatory responses. The Director will have to cultivate a common sense of purpose amongst the team members to ensure that the Monitoring Team works closely with other teams and divisions of SFC in line with the corporate priorities.

Requirements:

An ideal candidate should have substantial experience in the securities and futures markets (for example, as a corporate finance lawyer, equity analyst or financial controller), a sound and practical understanding of listed company corporate disclosure obligations and in-depth knowledge of the operation and regulations of the local securities and futures markets. The candidate should have an investigative mindset as well as excellent conceptual, analytical, interpersonal, written and presentation skills. On top of a strong sense of responsibility and impeccable integrity, the candidate should also demonstrate outstanding leadership. Professional qualifications in law, finance or accounting are an advantage but not essential.
